CALL TO ORDER
Pursuant to date, time and place stated above, Chairman Reynolds called the meeting to order at 4:10 p.m.

Chairman Reynolds recognized the former Board Chairs present: Larry Comer, Chet Austin, Bill Wiley, Bill Harris and Dan Rather.

Chairman Reynolds recognized Randal Peters, President of Heart of Georgia Technical College and Dr. Peters gave a presentation on Heart of Georgia Technical College.


APPROVAL OF MINUTES
Upon a motion by Mr. Bowen, second by Mr. Allgood, the Board approved the May 13, 2004 State Board Minutes.

COMMITTEE REPORTS

ADULT LITERACY COMMITTEE

Mr. Rakestraw gave each Board member a copy of the analysis and breakdown regarding the budget cuts from the service areas and discussed the results as requested from the previous Board meeting.

I. Distribution of Estimated Adult Literacy Federal Grant Funds

A. Upon a motion by Mr. Rakestraw, second by Mr. Allgood, the Board approved distribution of the estimated Adult Literacy Federal Grant Funds for Fiscal Year 2005, of $16,241,998.00.

II. Distribution of Estimated Adult Literacy State Grant Funds

A. Upon a motion by Mr. Rakestraw, second by Mr. Allgood, the Board approved distribution of the estimated Adult Literacy State Grant Funds for Fiscal Year 2005, of $10,949.402.00.


BUDGET, FACILITIES AND TECHNOLOGY COMMITTEE

I. Approval of Rental Agreement

A. Upon a motion by Mr. Copeland, second by Mr. Bowen and Mr. Allgood, the Board approved the execution of rental agreement with The DeKalb Technical College Foundation covering 30,000 sq. ft. of office/classroom space located at 1085 Montreal Road, Clarkston, Georgia at a monthly rental of $19,310.94 ($231,731.20 per year), for the period beginning July 1, 2004, and ending June 30, 2005, with eleven consecutive one-year options to renew beginning July 1, 2005 at the same monthly/annual rate.

B. Upon a motion by Mr. Copeland, second by Mr. Bowen, the Board approved the Rental Agreement with The DeKalb Technical College Foundation covering 12.58 acres of land located on Marbut Road, Lithonia, Georgia, for the period June 3, 2004, through June 30, 2004, a lump sum payment of $350,000.00 for the purpose of developing a truck driving range facility, with option to renew for twelve consecutive one year periods beginning July 1, 2004, at a monthly rental of $5,257.69 ($69,092.28 per annum).

II. Approval of Contracts

A. Upon a motion by Mr. Copeland, second by Ms. Lyons, the Board approved to authorize the Commissioner to enter into a Construction Contract with ARBUCK Co., Alpharetta, Georgia, for Re-roofing of Buildings 100, 300 and 500 at Augusta Technical College in the amount of $452,800.00.

B. Upon a motion by Mr. Copeland, second by Mr. Johnson, the Board approved the execution of a contract between DeKalb Technical College and First Nation Bank, Covington, Georgia, for Renovations to the building located at 8100 Bob Williams Parkway, Covington, Georgia, in the amount of $55,000.00 for development of auditorium space and air-conditioning improvements.

C. Upon a motion by Mr. Copeland, second by Ms. Lyons, the Board approved to authorize the Commissioner to enter into a construction contract with Construction Contract with Caspian Contracting, Inc., Marietta, Georgia, for construction of a New Maintenance Building at Lanier Technical College in the amount of $244,650.00.

D. Upon a motion by Mr. Copeland, second by Dr. Reed, the Board approved to authorize the Commissioner to enter into a contract with Adrian Building Concepts Inc., Swainsboro, Georgia, for purchase and installation of a Modular Classroom for the Commercial Truck Driving program at Okefenokee Technical College in the amount of $160,700.00.

E. Upon a motion by Mr. Copeland, second by Mr. Johnson, the Board approved to authorize the Commissioner to enter into contract with Charles H. Wilkinson, Inc., Statesboro, Georgia, for Renovation of GSAM office space at Savannah Technical College in the amount of $34,744.00.

F. Upon a motion by Mr. Copeland, second by Dr. Reed and Dr. Noble, the Board approved to authorize the Commissioner to enter into a construction contract with Double T Construction, LLC, Douglas, Georgia, at Albany Technical College for Renovation of Building D in the amount of $58,000.00.

G. Upon a motion by Mr. Copeland, second by Mr. Johnson, the Board approved to authorize the Commissioner to enter into a contract with Mayne Tile, Inc., Atlanta, Georgia, for Purchase and Installation of Floor Tile at Athens Technical College in the amount of $47,690.00.

H. Upon a motion by Mr. Copeland, second by Dr. Reed, the Board approved to authorize the Commissioner to enter into a construction contract with Roof Craft Systems, Centre, Alabama, for Replacement of Metal Roof, Library Building at Athens Technical College in the amount of $60,900.00.

I. Upon a motion by Mr. Copeland, second by Dr. Reed, the Board approved to authorize the Commissioner to enter into a statewide contract to purchase a modular classroom for Griffin Technical College in the amount of $49,784.00.

J. Upon a motion by Mr. Copeland, second by Mr. Johnson and Dr. Reed, the Board approved to authorize the Commissioner to enter into a construction contract with Northstar Construction Management Co., Gainesville, Georgia, for Lanier Technical College for Façade Improvements in the amount of $197,000.00.

K. Upon a motion by Mr. Copeland, second by Mr. Johnson and Dr. Reed, the Board approved to authorize the Commissioner to enter into a construction contract with Barber Contracting, Moultrie, Georgia, for Renovation of Facilities, for Moultrie Technical College – Industrial Drive Campus in the amount of $492,000.00.

L. Upon a motion by Mr. Copeland, second by Mr. Johnson, the Board approved to authorize the Commissioner to enter into a construction contract with Extreme Technology’s Inc., Lithia Springs, Georgia, for Stabilization of Building 300 for North Metro Technical College in the amount of $95,050.00.

M. Upon a motion by Mr. Copeland, second by Mr. Johnson, the Board approved to authorize the Commissioner to enter into a construction contract with Stone and Tile Design, Statesboro, Georgia, for Purchase/Installation of Tile for Ogeechee Technical College in the amount of $25,871.00.

N. Upon a motion by Mr. Copeland, second by Mr. Rice, the Board approved to authorize the Commissioner to enter into a construction contract with Dixie Roadbuilders, Inc., Waycross, Georgia, for Construction of Parking Lot at Okefenokee Technical College in the amount of $238,540.00.

O. Upon a motion by Mr. Copeland, second by Mr. Bowen, the Board approved to authorize the Commissioner to enter into a Construction Contract with Essam’s Flooring, Inc., Atlanta, Georgia, for Installation of Tile in Allied Health Building at Southeastern Technical College in the amount of $56,900.00.

III. Purchase of Real Property
Upon a motion by Mr. Copeland, second by Ms. Lyons, the Board approved Purchase of 2.83 acres of land known as 2912, 2914 and 2916 Hamilton Drive, Augusta, Georgia, from Karen Storey Chiera and Tammie Storey Dressel for Augusta Technical College at a purchase price of $85,900.

IV. Approval of Licensing Fees

A. Upon a motion by Mr. Copeland, second by Ms. Lyons, the Board approved to authorize the Commissioner to pay the Licensing fees to BlackBoard Inc., for software used to deliver the web-enabled training for Georgia Virtual Technical Colleges at a cost not to exceed $400,000.00.

B. Upon a motion by Mr. Copeland, second by Dr. Reed, the Board approved to authorize the Commissioner to pay the Licensing fees to Oracle for software used in conjunction with the Banner software student information system for all technical colleges at a cost not to exceed $86,000.00.

Approval for Computer Equipment
Upon a motion by Mr. Copeland, second by Ms. Lyons, the Board approved to authorize the Commissioner to approve the upgrade of the RISC6000 servers of all Technical Colleges which are used to run the Student Information System software for a cost not to exceed $750,000.00.

Approval of New Policy – Gifts
Upon a motion by Mr. Copeland, second by Dr. Reed, the Board approved to accept the new proposed State Board policy concerning gifts for DTAE employees.

III. V. Gifts

Objectivity and integrity are essential qualities for members of the State Board and Department employees. If the Department is to carry out its mission of providing quality technical education, adult literacy education, continuing education, and customized business and industry workforce training to the citizens of Georgia, then the Board, the Department and its employees must maintain the highest levels of integrity and objectivity as they perform their duties. Employees and board members shall make every reasonable effort to avoid the appearance of a conflict of interest.

A member of the Board or an employee of the Department, or any other person on his or her behalf, shall not directly or indirectly solicit, receive, accept or agree to receive a thing of value by inducing the reasonable belief that the giving of the thing will influence his/her performance or failure to perform any official action. Such action is a felony under O.C.G. A. § 16-10-2.

Board members and Department employees are prohibited from knowingly accepting directly or indirectly, a gift from any vendor or lobbyist as those terms are defined in Georgia statutes. (O.C.G.A. § 21-5-70(6) and O.C.G.A. § 45-1-6(a)(5)(b)). If a gift has been accepted, it must be either returned to the donor or transferred to a charitable organization. A gift may be accepted by the employee on behalf of the Department or a Technical College subject to a written report to the Commissioner or Technical College President. The employee receiving the gift shall not maintain custody of the gift for any period of time beyond that reasonably necessary to arrange for the transfer of custody and ownership of the gift.

For purposes of this policy a gift is defined as lodging, transportation, personal services, a gratuity, subscription, membership, trip, loan, extension of credit, forgiveness of debt, advance or deposit of money, or anything of value. A gift shall not include:

  1. Food or beverage consumed at an occasional meal or event, provided the value is reasonable under the circumstances but in no event exceeds $100 per person;

  2. Food, beverages, and registration at group events to which substantial numbers of Department employees are invited;

  3. Food, beverage, or expenses afforded employees, relatives or others that are associated with normal and customary business or social functions or activities;

  4. Actual and reasonable expenses for food, beverages, travel, lodging and registration provided to permit participation in a meeting, demonstration, or training related to official or professional duties if participation has been approved in writing by the Commissioner, the President, or his/her designee;

  5. Promotional items generally distributed to the general public

  6. Textbooks, software, and instructional materials to be reviewed by faculty only if accepted by the faculty member on behalf of the Technical College;

  7. An award, plaque, certificate, memento, or similar item given in recognition of the recipient's civic, charitable, political, professional, private or public service or achievement;

  8. Legitimate salary, honoraria, benefit, fees, commissions, or expenses associated with the recipient's non-public business, employment, trade, or profession;

  9. Gifts from a person or entity who is neither a lobbyist nor a vendor as those terms are defined in Georgia statutes, nor a student, nor a live work client at a Technical College; or

  10. Gifts from Technical College foundations or other separately incorporated, charitable entities.

Modification to Rental Agreement
Upon a motion by Mr. Copeland, second by Mr. Johnson, the Board approved the execution of the First Modification Agreement to Rental Agreement with Central Georgia Technical College Foundation covering building located at 3630 Bloomfield Parkway, Macon, Georgia, covering renovations for use of the Adult Literacy Program at Central Georgia Technical College in the amount of $150,000.00.

Approval of Property Conveyance
Upon a motion by Mr. Copeland, second by Ms. Lyons, the Board approved the Conveyance of 0.880 of one acre of land at Forsyth Campus of Lanier Technical College to Forsyth County, Georgia for use with construction of Forsyth Connector Road, subject to the approval of the State Properties Commission.

Approval of Vpn Concentrator Fees
Upon a motion by Mr. Copeland, second by Ms. Lyons, the Board approved to authorize the Commissioner to pay for VPN Concentrators used to secure remote access to college networks for staff and permit remote sites to be securely connected to campus LANs required for transmission of confidential student and administrative data for all technical colleges, fees are in the amount of $110,000.00.

Upon a motion by Mr. Rice, second by Mr. Johnson, the Board approved that the
Commissioner be authorized to enter into a contract with Georgia State University on
behalf of the Board of Regents of the University of Georgia System to offer instructor
training activities through the Faculty Development Institute at a total cost not to
exceed $131,500.00.

CHAIRMAN’S REPORT
Chairman Reynolds expressed his sympathy to the family and faculty of DeKalb Technical College on the death of President Dr. Paul Starnes.

He thanked Beth Neal and staff responsible for GOAL Conference and activities being a great success. The GOAL winner for 2004 is Candice Walker, Radiologic Technolgy student at Okefenokee Technical College. The 2004 Rick Perkins Award is Beverly Padgett, Certified Customer Service Specialist instructor at Coosa Valley Technical College.

He recognized Allen Rice regarding his article “Global Vidalia” making the front page of Atlanta Journal Constitution.

He announced Capitol Outlay Meeting would be held in Savannah at the Mulberry Inn, June 15-17, 2004. Any Board member that wished to attend was invited.

Chairman Reynolds recognized Dr. Ken Breeden with his 20 years of Faithful Service Award and also with a letter of commendation from each former Chairman. Each former Chairman and present Chairman Reynolds gave a few remarks about Dr. Breeden and thanked him.

Upon a motion by Mr. Bowen, second by Mr. Copeland, the Board approved to incorporate these letters into the minutes.

COMMISSIONER’S REPORT
Dr. Breeden thanked everyone for their support during his 20 years of service and how much he appreciated everyone.


EXECUTIVE COMMITTEE REPORT

Upon a motion by Mr. Bowen, second by Mr. Allgood, the Board approved to authorize the Commissioner to execute the Management Agreement and related documents necessary to accomplish the conversion of Gwinnett Technical College.

Mr. Bowen asked to be recognized for some special awards.

Charles A. Harris Award

He stated, “I don’t believe that there has been a more beloved member of this Board than Charles Harris. His passion for the mission of our technical college system, and particularly as that mission pertains to adult literacy, was genuine and inspirational. He was a mentor to each new member of the Board; motivated this Board and the Department in the pursuit of excellence; care deeply about the students and faculty; and was a gentleman of the highest order.

His love for this Board and for our system was exceeded only by that for his wonderful family.

To provide not only a lasting reminder of Charles A. Harris’ legacy, but to recognize others who have served this Board and Department in a way that would make Mr. Harris proud, the Board has authorized The Charles A. Harris Award for Distinguished Service as a Member of the State Board of Technical and Adult Education. This award will be presented annually to a past or current State Board member who best exemplifies Mr. Harris’ fervor, sense of stewardship, leadership and benevolence.”

Upon a motion by Mr. Bowen, second by Dr. Reed, the Board approved the adoption of a Resolution creating The Charles A. Harris Award for Distinguished Service as a Member of the State Board of Technical and Adult Education, which reads as follows:

Kenneth H. Breeden Award

“Thanks to the leadership of Ken Breeden, Georgia has the most outstanding system of technical colleges in the United States, the most customer focused and effective customized training program for existing and new businesses and industry in the world, and a highly regarded literacy program that is nationally recognized for its success in improving the skills and proficiency of tens of thousands of Georgians so as to enable them to be productive citizens. Little wonder then why he has been named as among the “Most Influential Georgians” by Georgia Trend Magazine.

Ken has done a masterful job of leading the Department of Technical and Adult Education since its inception as an independent state agency and through year after year of growth in demand for its services.

And that growth has been explosive during the past several years. Demands of a changing economy have prompted tens of thousands of Georgians to enroll in our technical colleges to improve or attain new skills. Hundreds of Georgia businesses have strengthened their partnership with technical colleges or taken advantage of QuickStart to enhance the skills level of their workforce and become more competitive.

There is not a greater resource for Georgia business today, nor a state agency more committed to its mission that the Department of Technical and Adult Education. And that fact is attributable to Ken Breeden and his leadership.

To perpetuate and recognize in others the spirit that motivates Ken, and to acknowledge others who share Ken’s commitment to this system of technical colleges and who have worked tirelessly on behalf of the system, the State Board has authorized the Kenneth H. Breeden Award for Distinguished Leadership in Technical Education. This award will be presented annually to a leader in government, business, education or community development who has emulated Ken’s passion for and contribution to Georgia’s technical college system.”

Upon a motion by Mr. Bowen, second by Mr. Copeland, the Board approved the adoption of a Resolution creating the Kenneth H. Breeden Award for Distinguished Leadership in Technical and Adult Education, which reads as follows:

Upon a motion by Mr. Bowen, second by Mr. Allgood, the Board approved to recess for an Executive Session for a discussion regarding personnel.

The Board meeting resumed at 5:55 p.m.

Upon a motion by Mr. Bowen, second by Ms. Lyons, the Board approved that the Board authorize the Executive Committee to contract with an individual to serve as Interim Commissioner effective July 1, 2004, (assuming that the Board has not approved the appointment of a new Commissioner by that time) until such time as the Board approves the appointment of a new Commissioner.
