CALL TO ORDER

Pursuant to date, place, and time stated above, Chairman Reynolds called the meeting to order at 1:10 p.m.

APPROVAL OF MINUTES
Upon a motion by Mr. Bowen, second by Mr. Copeland, the Board approved the State Board Minutes for May 5, 2005.

Upon a motion by Mr. Bowen, second by Mr. Copeland, the Board approved to recess and go into an Executive Session at 1:11 p.m. to discuss personnel issues.

The Board reconvened at 1:30 p.m. and Chairman reported no actions were taken in the Executive Session.


EXECUTIVE COMMITTEE

Upon a motion by Mr. Bowen, second by Dr. Reed, the Board approved the Commissioner’s recommendation of the appointment of Dr. Gail Thaxton as the President of Okefenokee Technical College effective July 1, 2005. Dr. Thaxton is currently Executive Vice President and Vice President of Instruction at Albany Technical College.

Chairman Reynolds reminded everyone the “Financial Disclosure Statement” is due to the Secretary of State’s Office on July 1. A copy was included in each member’s meeting book and available on the website.

A copy of a letter written on behalf of the State Board by Harold Reynolds, Chair of Board to the Commissioner thanking and supporting the Commissioner, Deputy Commissioner Jackson and entire staff in the professional manner they have operated under the trying circumstances was read and given each member. (Copy attached) Exhibit B. Chairman Reynolds also asked that the letter be distributed to entire DTAE staff.

Chairman Reynolds appointed a Committee to assist the Commissioner in determining whether legal representation might be needed as a result of any completed or impending investigations by the Investigator General’s Office, and, if so, to provide assistance in the selection of counsel. The Committee consists of Michael Daniel as Chair, Steve Rieck and Allen Rice.

Chairman Reynolds reminded the Members that the State Board Retreat is July 13 and that the State Board meeting will be held at Gwinnett Tech on July 14. Gwinnett Tech will host a dinner and reception on the evening of Wednesday, July 13. Details will follow.

Jack Sterrett, President of Sandersville Technical College, was recognized for his retirement effective June 30, 2005. He was presented an Honorary Lt. Colonel Certificate signed by Governor Sonny Perdue. Debbie Dlugolenski will serve as Interim President until the Search Committee completes the search process for a new president.

COMMISSIONER’S REPORT

Performance-Based Funding - Commissioner reported that the new allocation process was started in the spring based on performance funding. For the first time, this was a transparent way of releasing allocations to the 34 colleges with a percentage based on performance, but he committed moving toward a true performance-based funding model. A committee of presidents and vice presidents, individuals from the Legislative Office, Office of Planning and Budget and others will begin working next week to look at what other states are doing with “performance based funding” and develop a model that will be good for our system and each of our colleges.

Strategic Planning – The Georgia Public Policy Foundation (GPPF) has been soliciting input from around the State. He stated he had met with them last week for a brief overview of some of the major issues they will be bringing forth to you at next month’s retreat:

(1) Accreditation; accreditation as COC members.

(2) Funding; explore different options with consideration given to cost variances between programs such as healthcare vs. cosmetology; a possibility of placing premium tuition on high demand fields; explore the feasibility, through legislation, of carrying over unencumbered funds generated from training/tuition monies that are locally generated.

(3) Regionalization; more and more of our campuses are writing or calling saying we would like to be considered for a Center of Excellence for “X”. The Board may want to consider creating Centers of Excellence and regionalization of high cost programs.

(4) Curriculum and programs; in terms of future growth in our system we need the ability to look strategically at what jobs will be in high demand and related funding issues. Currently, we do not have the capability of developing programs and curriculum for what the future demand is for the next five years.

(5) Marketing and Public Relations; very few people know that we have 34 great technical colleges in the state and they are an integral part of a technical education system. GPPF has determined we are not hitting on all cylinders in terms of high schools and middle schools. Our counselors, middle and high school parents/students do not know that technical education is a viable postsecondary educational component.

(6) Partnerships; we need a stronger partnership with Department of Education and Regents.

(7) Lastly, GPPF will recommend that the Board to take a strong look at Adult Literacy and the administration of the program.

Presidents’ evaluation - I am in the midst of spending one hour with each president discussing retention, graduation, and placement rates. I am asking them about their goals and objectives. I have asked the Executive Committee to review a proposed presidential evaluation process which includes interviewing faculty, staff, students, community leaders and administrative leadership to help determine how is the president doing; about his/her leadership style; where improvement is needed. Then every five years, I conduct another thorough one-day check. How is that campus operating in terms of faculty, staff, students, administrative leadership and community teamwork and, more importantly, what are their five-year goals for the college.

Presidential searches - We now have three finalists for Middle Georgia Technical College and I hope to have a recommendation to the Board by July. The Sandersville Technical College presidential search will begin the last week of June.


CHAIRMAN'S
REPORT
Chairman Reynolds commented on several items the Commissioner mentioned above. He stated that the Adult Literacy program is essential and recognizes the importance of its mission. He stated the Board do all it can to support its mission.

In regard to the strategic planning process that began about eight months ago, Chairman Reynolds expressed his confidence in GPPF. He encouraged everyone to attend the July retreat.

Chairman Reynolds thanked everyone for their participation in the Committee meetings and acknowledged the extensive work involved in bringing agenda items and motions before the Board.

NOMINATING COMMITTEE

Roy Bowen, Chairman of the Nominating Committee, thanked Jimmy Tallent and Sandra Reed for their help. Chairman Bowen reported the Committee was pleased to bring to the Board the recommendations of Ben Copeland to serve as Chairman and Michael Daniel to serve as Vice Chairman for a two-year term beginning July 1, 2005.

Upon a motion by Mr. Bowen, second by Mr. Tallent, the Board approved the Nominating Committee’s recommendation.

Dr. Reed stated there was some discussion and debate in their Committee meeting about the Georgia Aviation Technical College starting the air traffic control program. The Committee felt this would be a very good opportunity for the community as well as the state to get involved early in training air traffic controllers. There is going to be an attrition of the air traffic controllers in the next 1 to 3 years that will be significant to the workforce. The Committee felt this request should be approved.

Approval of Expenditures

1. Upon a motion by Mr. Rice, second by Ms. Flanders and Mr. Copeland, the
Board approved to authorize the Commissioner to pay Oracle for licensing fees at
a cost not to exceed $86,000.00.

2. Upon a motion by Mr. Rice, second by Mr. Rieck, the Board approved to
authorize the Commissioner to pay BlackBoard licensing fees at a cost not to
exceed $495,000.00.

3. Upon a motion by Mr. Rice, second by Mr. Rakestraw, the Board approved to authorize the Commissioner to pay for the GALILEO fees at a cost not to exceed $729,000.00.

4. Upon a motion by Mr. Rice, second by Mr. Rakestraw, the Board approved the renewal of Microsoft Campus Agreement which covers Microsoft license for all Technical Colleges and Central Office computers, cost not to exceed $246,000.00.

FACILITIES AND REAL ESTATE (TAB 1.F)

Non-Exclusive Easement

A. Upon a motion by Ms. Flanders, second by Mr. Johnson, the Board approved a non-exclusive easement to Columbus Technical College – the Columbus Consolidated Government across the campus of Columbus Technical College over an area measuring 20’ x 460’ for the purpose of installing and maintaining a sanitary sewer line.

Rental Agreement

A. Athens Technical College – Upon a motion by Ms. Flanders, second by Mr. Rieck, the Board approved Athens Technical College the execution of a rental agreement with the Athens Technical College Foundation, Inc. covering 15,000 sq. ft. of classroom/office space located adjacent to its campus for the period June 2, 2005, through June 30, 2005, at the lump sum rental rate of $150,000 for purposes of build out/renovations to the building, with option to renew for 10 consecutive one year periods beginning July 1, 2005, at the monthly rental rate of $3,520.00.


B. Columbus Technical College – Upon a motion by Ms. Flanders, second by
Ms. Lyons, the Board approved Columbus Technical College rental agreement
with Denium North America LLC, 1 Marubeni Drive, Columbus, GA 31907,
covering 30,000 sq. ft. in the warehouse located 4600 River Road, Columbus,
GA, for a six month period beginning June 2, 2005, and ending December 1,
2005, at the monthly rate of $5,000 per month, with option to renew on a month
to month basis beginning December 2, 2005, at the rate of $5,000 per month.


Approval of Contracts

A. Upon a motion by Ms. Flanders, second by Ms. Lyons, the Board approved to authorize the Commissioner to enter into a contract with Wallace H. Wiggins Co., Statesboro, Georgia, for Augusta Technical College for the Re-roofing of Buildings 200 and 400 in the amount of $373,000.00.

B. Upon a motion by Ms. Flanders, second by Ms. Lyons, the Board approved to
authorize the Commissioner to enter into Contract with Harmon Commercial & Industrial Construction, Macon, Georgia, for construction of a Maintenance/Warehouse Building for Central Georgia Technical College in the
amount of $293,400.00.

C. Upon a motion by Ms. Flanders, second by Ms. Lyons, the Board approved to
authorize the Commissioner to enter into a contract with Clark Patterson,
Associates for architectural services for Renovation of the Advanced Technology Center for DeKalb Technical College in the amount of $71,000.00.

D. Upon a motion by Ms. Flanders, second by Mr. Daniel, the Board approved to authorize the Commissioner to enter into a contract with Adrian Building Concepts, Inc., for the purchase and installation of a Modular Classroom for Moultrie Technical College, Tifton Campus in the amount of $144,000.00.

E. Upon a motion by Ms. Flanders, second by Mr. Johnson, the Board approved to authorize the Commissioner to enter into a contract with Adrian Building Concepts, Swainsboro, Georgia, for the purchase of a modular classroom for Chattahoochee Technical College located at the Paulding County Campus in the amount of $204,000.00.

F. Upon a motion by Ms. Flanders, second by Dr. Reed, the Board approved a contract with WCCI, Inc., Columbus, Georgia for construction of an Administration Building for Middle Georgia Technical College in the amount of $1,189,122.00

AFFIDAVIT SUPPORTING CLOSING
OF PUBLIC MEETING

The Georgia Open Meetings Act, O.C.G.A. § 50-14-1 et seq., requires that all meetings of an entity covered by the statute must be open to the public unless there is some specific statutory exception that permits the closing of the meeting. If such a meeting is to be closed, the law requires that the presiding person execute a sworn affidavit stating that the subject matter of the meeting or the closed portion thereof was devoted to matters within the statutory exceptions and identifying those specific exceptions relied upon. O.C.G.A. § 50-14-4(b). A copy of this affidavit must be filed with the minutes of the meeting in question.

Comes now Harold Reynolds, the presiding officer identified below, and, before an official duly authorized to administered oaths, makes this affidavit in satisfaction of the statutory requirements outlined above.

I am the presiding officer of the June 2, 2005 State Board of Technical and Adult Education.

I am over the age of 18 and in all aspects competent to make this sworn statement. I acknowledge that I am giving this statement under oath and penalty of perjury and that I have read the contents of this affidavit prior to signing it.

On June 2, 2005, this Board, which is subject to the Open Meetings Act, met. A majority of the quorum of the members present voted to close the meeting or a portion thereof for the following indicated reason(s). I hereby certify that during the closed portion of the meeting only those subjects indicated below were discussed. I also certify that I have reviewed the exceptions provided under the Open Meetings Act that may permit the closing of a meeting and that, to the best of my knowledge, the reasons set forth below meet the requirements for closing this public meeting.

The legal authority for the closure of this meeting was Section 50-14-3(6) of the Official Code of Georgia.

During the closed portion of the meeting, members of the State Board discussed or deliberated only upon a personnel matter.

Vollmer, Deputy Commissioner Ron Jackson and the staff for the professional manner in which they have operated under trying circumstances over the past few weeks.

The Executive Committee of the State Board will work closely to support and help the Commissioner and Deputy Commissioner in resolving issues that have emerged during the past weeks and to bring closure to these issues as quickly as possible.
