CALL TO ORDER
Pursuant to date, time and place stated above, Chairman Reynolds called the meeting to order at 9:38 a.m.

Chairman Reynolds expressed his thanks to Ben and Lavonne Copeland for hosting the Board and guests at their home on Wednesday evening for reception and dinner. He thanked President James Bridges for hosting the Board meeting at Valdosta Tech.


APPROVAL OF MINUTES
Upon a motion by Mr. Bowen, second by Mr. Chapman, the Board approved the State Board minutes for April 1, 2004.

COMMITTEE REPORTS

ADULT LITERACY COMMITTEE

Ms. Flanders gave an update on the activities of Adult Literacy and there were no motions.

There was a request from Mr. Bowen that each Board member be given an analysis and breakdown regarding the budget cuts from the service areas.


BUDGET, FACILITIES AND TECHNOLOGY COMMITTEE

I. Approval of Contracts

A. Upon a motion by Ms. Douglas, second by Mr. Allgood, the Board approved to authorize the Commissioner to enter into a Contract with Convergent Technologies, LLC, Norcross, Georgia, for Upgrade of HVAC Controls at Coosa Valley Technical College in the amount of $84,300.00.

B. Upon a motion by Ms. Douglas, second by Ms. Lyons, the Board approved to authorize the Commissioner to enter into a Contract with Northeast Georgia Carpet, Inc., Baldwin, Georgia, for Removal and Installation of Carpet at North Georgia Technical College in the amount of $55,000.00.

C. Upon a motion by Ms. Douglas, second by Dr. Reed, the Board approved to authorize the Commissioner to enter into a construction contract with Nolan Construction Co., Valdosta, Georgia, for construction of a Recreational Vehicle Service Technology Building at East Central Technical College in the amount of $370,200.00.

E. Upon a motion by Ms. Douglas, second by Mr. Allgood, the Board approved to authorize the Commissioner to enter into a construction Contract with Charles H. Wilkerson, Inc., Statesboro, Georgia, for Renovation of the Stewart Building at Heart of Georgia Technical College in the amount of $30,745.00.

F. Upon a motion by Ms. Douglas, second by Ms. Lyons, the Board approved to authorize the Commissioner to enter into a construction contract with D&M Construction Co., Zebulon, Georgia, for the Renovation of the Library/Media Center at Albany Technical College in the amount of $243,965.00.

G. Upon a motion by Ms. Douglas, second by Mr. Rice, the Board approved to authorize the Commissioner to enter into a contract with Dublin Construction Co., for the Re-roofing of the Maintenance Building at Swainsboro Technical College in the amount of $63,530.00.

H. Upon a motion by Ms. Douglas, second by Mr. Allgood, the Board approved to authorize the Commissioner to enter into a contract with Dublin Construction Co., for Renovation of the Porter Building at Heart of Georgia Technical College in the amount of $169,672.00.

I. Upon a motion by Ms. Douglas, second by Mr. Rieck, the Board approved to authorize the Commissioner to enter into a contract to The Jordan’s Group, Gainesville, Georgia, for Landscaping and Irrigation System at Griffin Technical College in the amount of $64,842.94.

J. Upon a motion by Ms. Douglas, second by Dr. Reed, the Board approved to authorize the Commissioner to enter into a construction contract with Sloan Construction Co., Inc., Toccoa, Georgia, for Construction of a Parking Lot at North Georgia Technical College in the amount of $99,036.10.

K. Upon a motion by Ms. Douglas, second by Mr. Rieck, the Board approved to authorize the Commissioner to enter into a construction contract with Beatty Construction Co., Marietta, Georgia for construction of a Canopy Addition for Building B, Newton County Campus at DeKalb Technical College in the amount of $94,800.00.

II. Approval of Intergovernmental Agreement
Upon a motion by Ms. Douglas, second by Dr. Reed, the Board approved to enter in to an Intergovernmental Agreement with Columbus Consolidated Government for Resurfacing and Re-stripping of Parking Lots at Columbus Technical College in the amount of $100,000.00.

III. Approval of Licensing Fees

A. Upon a motion by Ms. Douglas, second by Dr. Reed and Mr. Bowen, the Board approve the Commissioner to pay Licensing fees for Banner Software for student information system used by each Technical College in the amount not to exceed $375,000.00.

B. Upon a motion by Ms. Douglas, second by Dr. Reed, the Board approved the Commissioner to pay the Board of Regents Licensing fees for GALILEO Software for access to databases such as EBSCO, Lexis-Nexis, B&H Proquest and others in the amount not to exceed $614,685.00.

IV. Approval of New Policy

Upon a motion by Ms. Douglas, second by Dr. Reed the Board approved to accept the new proposed State Board policy concerning Gifts for DTAE employees to lie on the table until the next regularly scheduled Board meeting. See below:

III. V. Gifts

Objectivity and integrity are essential qualities for members of the State Board and Department employees. If the Department is to carry out its mission of providing quality technical education, adult literacy education, continuing education, and customized business and industry workforce training to the citizens of Georgia, then the Board, the Department and its employees must maintain the highest levels of integrity and objectivity as they perform their duties. Employees and board members shall make every reasonable effort to avoid the appearance of a conflict of interest.

A member of the Board or an employee of the Department, or any other person on his or her behalf, shall not directly or indirectly solicit, receive, accept or agree to receive a thing of value by inducing the reasonable belief that the giving of the thing will influence his/her performance or failure to perform any official action. Such action is a felony under O.C.G. A. § 16-10-2.

Board members and Department employees are prohibited from knowingly accepting directly or indirectly, a gift from any vendor or lobbyist as those terms are defined in Georgia statutes. (O.C.G.A. § 21-5-70(6) and O.C.G.A. § 45-1-6(a)(5)(b)). If a gift has been accepted, it must be either returned to the donor or transferred to a charitable organization. A gift may be accepted by the employee on behalf of the Department or a Technical College subject to a written report to the Commissioner or Technical College President. The employee receiving the gift shall not maintain custody of the gift for any period of time beyond that reasonably necessary to arrange for the transfer of custody and ownership of the gift.

For purposes of this policy a gift is defined as lodging, transportation, personal services, a gratuity, subscription, membership, trip, loan, extension of credit, forgiveness of debt, advance or deposit of money, or anything of value. A gift shall not include:

  1. Food or beverage consumed at an occasional meal or event, provided the value is reasonable under the circumstances but in no event exceeds $100 per person;

  2. Food, beverages, and registration at group events to which substantial numbers of Department employees are invited;

  3. Food, beverage, or expenses afforded employees, relatives or others that are associated with normal and customary business or social functions or activities;

  4. Actual and reasonable expenses for food, beverages, travel, lodging and registration provided to permit participation in a meeting, demonstration, or training related to official or professional duties if participation has been approved in writing by the Commissioner, the President, or his/her designee;

  5. Promotional items generally distributed to the general public

  6. Textbooks, software, and instructional materials to be reviewed by faculty only if accepted by the faculty member on behalf of the Technical College;

  7. An award, plaque, certificate, memento, or similar item given in recognition of the recipient's civic, charitable, political, professional, private or public service or achievement;

  8. Legitimate salary, honoraria, benefit, fees, commissions, or expenses associated with the recipient's non-public business, employment, trade, or profession;

  9. Gifts from a person or entity who is neither a lobbyist nor a vendor as those terms are defined in Georgia statutes, nor a student, nor a live work client at a Technical College; or

  10. Gifts from Technical College foundations or other separately incorporated, charitable entities.

V. Registration and Tuition Fees

A. Upon a motion by Ms. Douglas, second by Mr. Bowen, the Board approved to increase tuition from $27.00 to $28.00 per credit hour, up to a maximum of 12 credit hours, effective fall quarter, 2004.

B. Upon a motion by Ms. Douglas, second by Mr. Bowen, the Board authoized the increases in the Registration and Student Activity fees. See attachment as it follows:


ECONOMIC DEVELOPMENT COMMITTEE

Ms. Lyons reported the following: The Quick Start Newsletter is for your review.

There were 8 active prospects, totaling a potential of 787 jobs. There were 9 announcements of new and expanding businesses for a total of 601 jobs.

A. Upon a motion by Ms. Lyons, second by Mr. Rieck, the Board approved to authorize the Commissioner to enter into a contract not to exceed $179,000 with the Carl Vinson Institute of Government for the third party surveys, to include planning, development, implementation and evaluation.

B. Upon a motion by Ms. Lyons, second by Mr. Rieck, the Board approved to authorize the Commissioner to enter into a contract to print Results magazine in the amount not to exceed $40,000.

Approval of General Program Standards Revisions

Upon a motion by Mr. Copeland, second by Mr. Bowen, the Board approved the proposed revisions to the Advisory Committee – Membership and Advisory Committee – Meetings general program standards as recommended by the Presidents Council be approved to be effective Summer Quarter 2004.

EXECUTIVE COMMITTEE
Chairman Reynolds asked Mr. Chapman to update the Board regarding the following that was discussed in the Executive Committee meeting. Mr. Chapman reviewed the discussion with the Board.

Upon a motion by Mr. Chapman, second by Mr. Bowen, the Board approved the following: I. Sublease Agreement and II. Rental Space Agreement. See Attached.

I. Approval of Sublease Agreement
Central Office DTAE – Approval of Sublease Agreement between Georgia Building Authority and DTAE for office space at 1800 Century Place, Atlanta, Georgia.

II. Approval of Rental Space
Quick Start Division of DTAE – Approval of Execution of Rental Agreement between Centergy One Associated, LLC and DTAE for office space located at 75 Fifth Street, Atlanta, Georgia.



CHAIRMAN’S REPORT

Chairman Reynolds gave each Board member a tentative agenda for the June 3 State Board meeting that will be held in Dublin at the DuBose Porter Center prior to Dr. Breeden’s Retirement Celebration. The Committee meetings will be held the same day. Details will be mailed in Board Briefing Book.


COMMISSIONER’S REPORT
Commissioner Breeden expressed his thanks to Valdosta Tech, Ben and Lavonne Copeland, and The Chamber of Commerce for the wonderful Valdosta hospitality.

He reminded everyone of State GOAL week in Atlanta the week of May 25th and invited all Board members to attend if their schedule permitted.
