CALL TO ORDER
Pursuant to place, date and time stated above, Chairman Copeland called the DTAE State Board meeting to order.

APPROVAL OF MINUTES
Upon a motion by Mr. Chapman, second by Mr. Keen, the Board approved the August 3, 2006, State Board Minutes.

CHAIRMAN'S REPORT

Naming President Emeritus

1. Okefenokee Technical College – Upon a motion by Mr. Rice, second by Mr. Russell, the Board approved Okefenokee Technical College Local Board’s request to name former President, Dr. John Pike President Emeritus.

2. East Central Technical College – Upon a motion by Mr. Snellgrove, second by Ms. Purcell, the Board approved East Central Technical College Local Board’s request to name Mr. Lewis I. Brinson, Sr. President Emeritus and name the new ECTC library the “Lewis I. Brinson, Sr. Library.”

Service Awards
Chairman Copeland called on Commissioner Vollmer to present the following Service Awards:

25 years – Ken Kincaid
30 years – Barbara Landay

Resolutions

1. Upon a motion by Mr. Tarbutton, second by Mr. Chapman, the Board approved a Resolution recognizing Mr. Roy Bowen for his faithful service and support as a State Board Member since 1992;

2. Upon a motion by Dr. Reed, second by Mr. Rieck, the Board approved a Resolution recognizing Ms. Sharon Douglas for her faithful service and support as a State Board Member since 2001.

Other Items

1. The Board Vision Committee had their first meeting Wednesday, September 6; selected Presidents from the different consortia will be contacted to meet at a future date and a third meeting with the selected Presidents’ and Board Vision Committees combined will hopefully meet during the Leadership Conference. This committee will be looking at DTAE’s mission, goals, and where this system wants to be in 5 to 10 years.

2. Next month’s Board meeting is October 5, in Newnan, at the CEC Building, a division of West Central Technical College. Committee meetings begin in the morning and the Board meeting is1:00 p.m. A draft agenda was given each member.

3. November Board meeting will be in conjunction with the Leadership Council in Savannah meeting on November 2, at 9:00 a.m. The Committee meetings will be the morning of November 1, and draft agenda was given each member.


COMMISSIONER'S REPORT

Introductions

Commissioner introduced Dr. Glenn Deibert, new President of Southwest Georgia Technical College effective September 1, 2006, and recognized Lorette Hoover for her service as Interim President for Southwest during the Presidential Search.

Beverly Smith, new Director of TCDA effective September 1, 2006 was introduced.

Presidential Searches:

1. Valdosta Tech – final candidates are being interviewed at the Central Office and should have a recommendation for the Board in October.

2. Ogeechee Tech –Randall Peters is serving as Interim President; the Search Committee is currently conducting the interview process.

3. Central Georgia Tech – Search Committee met for their first meeting August 24
Altamaha Tech – begins with their first meeting September 19, and Dr. Cathy Meehan, President of Southeastern Technical College will be serving as Interim President until the position is filled.

4. Swainsboro Tech – Search Committee will begin with their first meeting in October with Dr. Richard Thornton, Vice President of Instructional Services of Swainsboro is serving as the Acting President until the position is filled.

Commissioner’s updates:

1. Enrollment Management Plan – a committee of presidents and vice presidents, chaired by President Dr. Bobby Arnold of Griffin Tech, is reviewing enrollment procedures in an effort to standardize enrollment procedures

2. Fast Tract Nursing – Awarded $585,950 collectively to five technical colleges to expand their nursing programs in an effort to address the growing shortage of nurses in Georgia

3. Stay in School Initiative – We are now in the second year of the program. We now have 30 technical colleges participating in the program aimed at increasing student retention in middle and high schools throughout Georgia

4. Alliance of Education Agency Heads – Spearheaded by Governor Perdue, a collaboration among the state education agencies in Georgia to strengthen the seamlessness and overall quality of education opportunities in our state; 1) Professional Standards Commission; 2) Student Finance Commissioner; 3) Department of Early Care; 4) Department of Education; 5) Office of Student Achievement; 6) Board of Regents; and 7) Department of Technical and Adult Education meets regularly to develop five strategic education goals for the state:

• Decrease high school drop-out rate; increase high school graduation rate and increase college entrance rate

• Strengthen teacher quality, recruitment and retention

• Improve workforce readiness skills

• Develop strong education leaders, particularly at the K-12 system

• Improve SAT/ACT scores

NOTE: Mr. Rieck brought before the Board, the recommendations of the Academic, Standards and Programs Committee that the staff take a look at the State Policy 1D1, Local Boards’ Responsibility and present changes necessary to make sure perspective local Board members do not attend local Board meetings until approved by the State Board. Also in any event that a local Board member submits their resignations, the State Board should be notified as soon as possible in order for this vacancy to be filled.

III. Revised Mission Statement
Upon a motion by Mr. Rieck, second by Mr. Snellgrove, the Board approved the proposed revised mission statement for Middle Georgia Technical College as presented below.

Mission

To contribute to the economic, educational, and community development of the state by providing quality academic and technical education to the citizens of Middle Georgia through the applied science technology associate degree, diploma, and technical certificate of credit programs, adult literacy education services training, continuing education, and customized business and industry workforce training.

 

IV. Approval of General Program Standard Revision
Upon a motion by Mr. Rieck, second by Mr. Russell, the Board approved the proposed revised General Program Standard 02-09-03, Advisory Committee – Meetings.

ADVISORY COMMITTEE

Standard Statement
Program advisory committee meetings have a planned program of work.

Explanatory Comment
Regularly scheduled formal advisory committee meetings focus on planning, developing, implementing, and evaluating degree/diploma/certificate programs.

Evaluative Criteria
The program advisory committee has an annual program of work on file.

The program advisory committee meets a minimum of two times annually with at least three members who are external to the institution physically present; one of these meetings may be electronic in nature.

The program advisory committee elects officers, including a chairperson and a secretary.

The program advisory committee follows an agenda which is distributed to members prior to each meeting.

The chairperson of each program advisory committee assists program faculty in developing the agenda for each meeting.

The program advisory committee maintains minutes indicating date, agenda, members present, and recommendations.

Minutes record progress toward a program of work.

Minutes are distributed to each program advisory committee member prior to the each meeting.

The program advisory committee maintains an open file of minutes and other necessary documents for a minimum of three years.

The program advisory committee members are invited to make periodic classroom visits to the institution.

ADULT LITERACY

I. Certified Literate Community Program

  • Upon a motion by Mr. Johnson, second by Mr. Swearingen and Mr. Rieck, the Board approved to adopt and present a resolution recognizing the Cherokee Education Enhancement Foundation as a Certified Literate Community.

  • Upon a motion by Mr. Johnson, second by Mr. Chapman, the Board approved to adopt and present a resolution recognizing the Gilmer Learning Center, Inc. as a Certified Literate Community.

  • Upon a motion by Mr. Johnson, second by Mr. Russell, the Board approved to adopt and present a resolution recognizing the Chattooga County Literacy Council as a Participant in the Certified Literate Community Program.

Approval of State Board Policies
Upon a motion by Mr. Snellgrove, second by Mr. Russell, the Board approved the proposed revisions to State Board Policies IV. P. Programs for Adult Literacy, IV. M. Instructional Live Work Projects, IV. J. Articulation and Transfer, IV. I. Warranty of Degree, Diploma, and Technical Certificate of Credit Graduates, IV. F. Service Delivery Areas, IV. E. BUSINESS OPERATIONS, TECHNOLOGY, AND ADMINISTRATION

Approval of Expenditures

1. Upon a motion by Mr. Chapman, second by Mr. Johnson, the Board approved to authorize the Commissioner to pay Websense, the Internet filtering software used by each technical college, for licensing fees at a cost not to exceed $201,000.00.

2. Upon a motion by Mr. Chapman, second by Mr. Rice, the Board approved to authorize the Commissioner to pay Remote Technical Solutions for maintenance of the payment processing gateway system used to support electronic payment systems for the 34 technical colleges at a cost not to exceed $102,000.00.

Approval of Budget Requests

1. Upon a motion by Mr. Chapman, second by Mr. Rieck, the Board approved the DTAE FY07 amended budget request in the amount of $414,389,847.00.

2. Upon a motion by Mr. Chapman, second by Mr. Snellgrove, the Board approved the DTAE FY08 program based budget request in the amount of $423,047,789.00.

NOTE: Mr. Chapman stated upon the recommendation of the Business Operations Technology Administration Committee suggested that the Chairman and Commissioner consider appointing a Finance/Budget Committee due to the details of the budget process.


COMMUNITY AND PUBLIC AFFAIRS

Mr. Rice gave an update on the Marketing, Economic Development and Legislative divisions.


FACILITIES AND REAL ESTATE

Approval of Contract
Upon a motion by Ms. Purcell, second by Mr. Snellgrove, along with several others, the Board approved to authorize the Commissioner to enter into a contract with Y-Delta Electrical Co. for Southeastern Technical College for replacement of two chillers and chiller control system in the amount of $257,219.00. The source of funding for this project is from MRR funds at Southeastern Technical College and State Funds at DTAE.

Approval of Architect
Upon a motion by Ms. Purcell, second by Mr. Keen, the Board approved the following six projects listed below for each of these architects firms and construction cost listed

A. Flint River Technical College – Requests approval of JMA Architecture, Inc., Perry, Georgia, as project architect for Project No. DTAE-210 Industrial Training Building. Estimated construction cost is $6,650,000.00.

B. Lanier Technical College – Requests approval of Pieper O’Brien Herr, Architects, Alpharetta, Georgia, as project architect for Project No. DTAE-200 Classroom Building, Forsyth County Campus. Estimated construction cost is 9,700,000.00.

C. Okefenokee Technical College – Requests approval of IPG, Architects, Inc., Valdosta, Georgia, as project architect for Project No. DTAE-221 Renovation of Alma Center, Alma, Georgia. Estimated construction cost is $1,700,000.00.

D. Southwest Georgia Technical College – Requests approval of IPG, Inc., Valdosta, Georgia, as project architect for Project No. DTAE-203 Phase 2 Classroom Building. Estimated construction cost is $10,000,000.00.

E. West Central Technical College – Requests approval of Southern A&E, LLC, Austell, Georgia, as project architect for Project No. DTAE-213 Classroom Building, Douglasville Campus. Estimated construction cost is $4,200,000.00.

F. Albany Technical College – Requests approval of Ellis Ricket and Associates, Valdosta, Georgia, as project architect for Project No. DTAE-222 Renovation of the Construction Academy. Estimated construction cost is $1,400,000.00.


Approval of Maintenance Agreement
Upon a motion by Ms. Purcell, second by Mr. Snellgrove and Mr. Russell, the Board approved Savannah Technical College requests to authorize the execution of a maintenance agreement with Siemens Building Technologies, 1000 Business Center Drive, #70, Savannah, Georgia 31405, in the amount of $115,583.33, for HVAC Mechanical Services for Savannah Technical College’s White Bluff Road, Crossroads Parkway, and Hinesville, Georgia locations.

Revocable License and Non-Exclusive Easement
Upon a motion by Ms. Purcell, second by Mr. Daniel the Board approved Lanier Technical College requests for the granting of a revocable license and a non-exclusive easement across its Forsyth campus for the installation and maintenance of a sanitary sewer line.

Approval of Land Conveyance and Land Acquisition
Upon a motion by Ms. Purcell, second by Mr. Swearingen, the Board approved Albany Technical College requests on the granting of a revocable license and conveyance of land to the City of Albany, and the acquisition of land from the City of Albany, for the Lowe Road Relocation Project of the City of Albany.

Approval of Twenty Year Bond Sale Resolution
Upon a motion by Ms. Purcell, second by Mr. Snellgrove and Mr. Smith, the Board approved Georgia State Financing and Investment Commission requests for approval of a resolution for the sale of twenty year bond.

RESOLUTION OF
THE STATE BOARD OF
TECHNICAL AND ADULT EDUCATION


WHEREAS, the State Board of Technical and Adult Education (hereinafter the "Board"), has been charged with providing a comprehensive program of literacy, career, occupational, and technical education for adults and out-of-school youths and with establishing standards, rules, regulations and policies for the orderly and efficient operation of the Department of Technical and Adult Education, O.C.G.A. §20-4-11; and

WHEREAS FURTHER, pursuant to paragraphs I through III of section IV of article VII of the Constitution of the State of Georgia, Ga. Const. art. VII, sec. IV, par. I through III, the General Appropriations Act for fiscal year 2006-2007 (Act No. 950, 2006 Regular Session, H.B. 1027) was enacted by the General Assembly and signed by the Governor on May 8, 2006, so as to make the following appropriations to the General Obligation Debt Sinking Fund:

[Bond #33] From the appropriation designated "State General Funds (New)", $1,309,215 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $15,325,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #35] From the appropriation designated "State General Funds (New)", $961,515 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $11,255,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #36] From the appropriation designated "State General Funds (New)", $426,723 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $4,995,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #37] From the appropriation designated "State General Funds (New)", $954,253 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $11,170,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #38] From the appropriation designated "State General Funds (New)", $180,684 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $2,115,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #43] From the appropriation designated "State General Funds (New)", $644,997 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $7,550,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #44] From the appropriation designated "State General Funds (New)", $156,337 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $1,830,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #46] From the appropriation designated "State General Funds (New)", $1,214,387 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $14,215,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #47] From the appropriation designated "State General Funds (New)", $281,919 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $3,300,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #48] From the appropriation designated "State General Funds (New)", $337,449 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $3,950,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

[Bond #50] From the appropriation designated "State General Funds (New)", $884,201 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $10,350,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of two hundred and forty months.

WHEREAS FURTHER, the Georgia Constitution and the Georgia State Financing and Investment Commission Act provide that general obligation debt can only be issued for the benefit of the State, its departments, agencies, and institutions, and only for state authorities if they were created and activated prior to November 8, 1960, Ga. Const., art. VII, sec. IV, par. I(c); O.C.G.A. § 50-17-24(b) (3); and

WHEREAS FURTHER, the Department of Technical and Adult Education is a department of state government, O.C.G.A. § 20-4-14; and

WHEREAS FURTHER, the Board finds an immediate need for, and requests issuance of,

• $2,000,000 out of the aggregate total principal amount of $15,325,000 of State of Georgia General Obligation Bonds authorized in the first appropriation set forth above,

• $1,000,000 out of the aggregate total principal amount of $11,255,000 State of Georgia General Obligation Bonds authorized in the second appropriation set forth above,

• $4,995,000 in aggregate principal amount of State of Georgia General Obligation Bonds authorized in the third appropriation set forth above,

• $1,000,000 out of the aggregate total principal amount of $11,170,000 State of Georgia General Obligation Bonds authorized in the fourth appropriation set forth above,

• $2,115,000 in aggregate principal amount of State of Georgia General Obligation Bonds authorized in the fifth appropriation set forth above,

• $1,620,000 in aggregate principal amount of State of Georgia General Obligation Bonds authorized in the sixth appropriation set forth above,

• $1,000,000 out of the aggregate total principal amount of $10,300,000 State of Georgia General Obligation Bonds authorized in the seventh appropriation set forth above,

• $7,000,000 in aggregate principal amount of State of Georgia General Obligation Bonds authorized in the eighth appropriation set forth above,

• $550,000 out of the aggregate total principal amount of $7,550,000 State of Georgia General Obligation Bonds authorized in the ninth appropriation set forth above,

• $200,000 out of the aggregate total principal amount of $1,830,000 State of Georgia General Obligation Bonds authorized in the tenth appropriation set forth above,

• $1,000,000 out of the aggregate total principal amount of $14,215,000 State of Georgia General Obligation Bonds authorized in the eleventh appropriation set forth above,

• $3,300,000 in aggregate principal amount of State of Georgia General Obligation Bonds authorized in the twelfth appropriation set forth above,

• $800,000 out of the aggregate total principal amount of $3,950,000 State of Georgia General Obligation Bonds authorized in the thirteenth appropriation set forth above,

• $1,000,000 out of the aggregate total principal amount of $10,350,000 State of Georgia General Obligation Bonds authorized in the fourteenth appropriation set forth above, for the purpose of financing projects and facilities for the Department of Technical and Adult Education by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith; and

WHEREAS FURTHER, the Board desires to request the issuance of State of Georgia General Obligation Bonds in the aggregate principal amount of $27,580,000 for all or certain portions of the projects and facilities referenced in the appropriations set forth above, hereinafter referred to as the "Projects"; and

WHEREAS FURTHER, the Board is aware of the provisions and requirements of the Internal Revenue Code of 1986, as amended, (the "Tax Code") and the regulations issued there under respecting arbitrage bonds and private activity bonds, and is aware that the Projects must proceed with due diligence and be timely completed following receipt of the proceeds derived from the sale of general obligation bonds,

NOW, THEREFORE, BE IT RESOLVED BY THE STATE BOARD OF TECHNICAL AND ADULT EDUCATION:

SECTION 1.
That the Board hereby approves and authorizes financing the Projects as described above.

SECTION 2.
That the Board hereby recommends to the Georgia State Financing and Investment Commission that it undertake to issue $27,580,000 in aggregate principal amount of general obligation debt, the instruments of which shall have maturities not in excess of two hundred and forty months, for the purpose of financing the Projects.

SECTION 3.
That the Board hereby determines that the final plans for the Projects are sufficiently complete such that substantial binding obligations to a third party or parties, involving the expenditure of at least five percent (5%) of the proceeds of the bonds (as defined in the regulations issued under the Tax Code), to commence or acquire the Projects will be incurred within six (6) months after the issuance of the bonds, that eighty-five percent (85%) of the spendable proceeds of the bonds will be expended within three (3) years after the issuance of the bonds, and that the original proceeds of the bonds herein requested and anticipated investment proceeds (net of interest on the bonds during the estimated period of construction) will not exceed by more than five percent (5%) the amount necessary for financing the Projects.

The Board further determines that during the time the bonds are outstanding, it will not take or omit to take any action which would cause the bonds to be arbitrage bonds under the Tax Code, and it will not use the proceeds of the bonds or the Projects financed with the bonds for any non-governmental purpose or any purpose constituting a private activity as defined by the Tax Code. The Board further determines that the term of the bonds will not be longer than 120% of the reasonably expected economic life of the projects financed.

The Board further determines that no proceeds of the bonds will be used for reimbursement of any Project expenditures which were made before the anticipated delivery date of the bonds, except in situations where prior to such expenditure the Board obtains a Declaration of Intent from the Georgia State Financing and Investment Commission or is otherwise advised in writing by the Commission that such reimbursement will be permitted, it being the intention of the Board to comply in all respects with Section 1.150-2 of the Regulations under the Tax Code.

The Board further determines that none of the expenditures of proceeds of the bonds for the Projects will constitute working capital expenditures (as defined in the regulations issued under the Tax Code).

SECTION 4.
That the Board hereby approves, authorizes and directs the Commissioner of the Department to communicate a request to the Georgia State Financing and Investment Commission that said Commission issue the general obligation debt as described in Section 2 above.

SECTION 5.
That the Commissioner of the Department of Technical and Adult Education is hereby authorized and directed to execute any instruments and take whatever action which may be necessary in connection with the issuance of general obligation bonds by the Georgia State Financing and Investment Commission, including but not limited to, the preparation and execution of answers in connection with any legal proceeding as to the validity of any action by the Board for the bonds issued by the Georgia State Financing and Investment Commission. The Attorney General or any Assistant Attorneys General of the State of Georgia are authorized to execute acknowledgment of service and waiver of process of such legal proceedings.

The State Board of Technical and Adult Education (the “Board”), by resolution dated September 7, 2006, has authorized and directed me to request the Georgia State Financing and Investment Commission to issue State of Georgia General Obligation Bonds in the aggregate principal amount of $27,580,000 for the purpose of financing certain of the projects and facilities referenced in the appropriations set forth above, which will be hereinafter referred to as the "Projects."

The Board has determined that final plans for the Projects are sufficiently complete such that a substantial binding obligation to a third party, involving the expenditure of at least five percent (5%) of the proceeds of the bonds, to commence or acquire the Projects will be incurred within six (6) months after the issuance of the bonds, that eighty-five percent (85%) of the spendable proceeds will be expended within three (3) years after the issuance of the bonds, and that the original proceeds of the bonds herein requested and anticipated investment proceeds (net of interest on the bonds during the estimated period of construction) will not exceed by more than five percent (5%) the amount necessary for the purpose of financing the construction and equipping of the Projects.
