Pursuant to date, time and place stated above, Chairman Harris called the meeting to order.

OF MINUTES
Upon a motion by Mr. Bowen, second by Mr. Reynolds, the Board approved the September 5, 2002 State Board minutes.
GUESTS
Chairman Harris acknowledged and welcomed the guests and expressed his thanks and appreciation to President Rathburn and Savannah Technical College for hosting and assisting the Board during the Conference.
RESOLUTION
Chairman Harris recognized Beth Neal, DTAE staff working with Rick Perkins and GOAL winners. This year they are Jonathan Haley from Athens Technical College as the GOAL winner and Michelle Earley from Coosa Valley Technical College as the Rick Perkins winner. Ms. Neal brought before the Board a resolution to be presented to each winner.
A. Upon a motion by Mr. Reynolds, second by Mr. Bowen, the Board approved and a resolution was presented to Jonathan Haley for the GOAL 2002 Winner.

A RESOLUTION
Recognizing and Commending
Johnathan Nathaniel Haley
as the
2002 Georgia Occupational Award of Leadership (GOAL) State Winner
WHEREAS, Johnathan Haley is the recipient of the 2002 Georgia Occupational Award of Leadership; and
WHEREAS, Mr. Haley has demonstrated exceptional academic and leadership skills in postsecondary technical education; and
WHEREAS, the GOAL program has honored and rewarded Georgia's outstanding technical students for thirty one years; and
WHEREAS, the 2002 State GOAL Winner is competitively selected from the 37 collegiate GOAL winners who each represent their technical college and thousands of other Georgians benefiting from postsecondary technical education; and
WHEREAS, the 2002 GOAL Winner, now a graduate of Athens Technical College, obtained the necessary skills, resources and confidence to become successful in a competitive workforce; and
WHEREAS, Mr. Haley, upon completion of the Associate Degree Nursing program at Athens Technical College, plans to pursue a successful career in the nursing and anesthesia profession; and
WHEREAS, in pursuing his education, Mr. Haley has brought honor to himself, his family, his technical college and the technical education system that he represents by being selected as Georgia's technical education student of the year; and
WHEREAS, as the GOAL Winner, Mr. Haley is a spokesperson for technical education in Georgia and will make public promotional appearances for said purpose;
NOW, THEREFORE, BE IT RESOLVED, that the State Board of Technical and Adult Education recognizes and commends
Johnathan Nathaniel Haley
for his academic achievements and strides in promoting technical education in Georgia.

State Winner
WHEREAS, Michelle Earley is the recipient of the 2002 Rick Perkins Award for Excellence in Technical Instruction; and
WHEREAS, Ms. Earley is making significant contributions to technical education through outstanding leadership and innovative methodology of instruction; and
WHEREAS, Ms. Earley exemplifies excellence and commitment to the mission of the Georgia Department of Technical and Adult Education; and
WHEREAS, the Rick Perkins Award for Excellence in Technical Instruction has recognized and honored the state's outstanding postsecondary technical education instructors since 1991; and
WHEREAS, the state recipient is competitively selected from the technical colleges' local Rick Perkins Award winners who represent all postsecondary technical education instructors from 35 technical colleges throughout Georgia; and
WHEREAS, Ms. Earley is an instructor in the Business Office Technology programs at Coosa Valley Technical College; and
WHEREAS, Ms. Earley has proven herself as a leader in technical education and serves as a role model for the thousands of students enrolled in programs throughout the state; and
WHEREAS, as the Rick Perkins Award state winner, Ms. Earley will serve as the Instructor of the Year and as a spokesperson to promote Georgia's college system of technical and adult education;

III. Certified Literate Community Program
Upon a motion by Mr. Harrington, second by Ms. Goodman, the Board approved to adopt and present a resolution recognizing the city of Keysville and Keysville Visions of Literacy as a Certified Literate Community.
IV. General Educational Development Program
Upon a motion by Mr. Harrington, second by Mr. Pezold, the Board approved to contract with Innovantage, a subsidiary of CDI Corporation, for maintenance of the GED PASSPORT system at a cost not to exceed $200,000.
BUDGET, FACILITIES AND TECHNOLOGY COMMITTEE
PURCHASE OF REAL PROPERTY
Upon a motion by Mr. Harrington, second by Mr. Bowen, the Board approved the purchase of 5.99 acres of land located on Deepstep Road at the Fall Line Free, Sandersville, Georgia, from the Washington County Board of Commission at the price of $15,500, for use of Sandersville Technical College, subject to approval of the State Properties Commission.
APPROVAL OF CONSTRUCTION CONTRACTS
Upon a motion by Mr. Harrington, second by Mr. Allgood, the Board approved a construction contract for Phase 3 Renovations of the Stewart Building at Heart of Georgia Technical College. The amount of the contract not to exceed $235,000.00.
NOTE: Renovations include new wallcovering, new floor tile in technical and industrial classrooms, replacement of three (3) heatpumps, interior and exterior signage.
Upon a motion by Mr. Harrington, second by Mr. Bowen, the Board approved a construction contract for the Grading and Graveling of a Parking Lot at Forsyth County Campus of Lanier Technical College. The amount of this contract is not to exceed $40,000.00.
APPROVAL OF PROFESSIONAL SERVICE CONTRACT
Upon a motion by Mr. Harrington, second by Mr. Pezold and Ms. Goodman, the Board approved to authorize the Commissioner to enter into a professional service contract with Utilities Analyses, Inc. for Utility Cost Reductions and Management Analysis at state technical colleges. The amount of the contract is $66,500.00.
DISCUSSION: Utilities Analyses, Inc. will review current rate structures for electric, gas, water and sewer at all technical college facilities. UA will manage billing data, document and verify any overpayments, analyze current usage, evaluate alternative rates, negotiate with utility companies for maximum savings, establish base line cost and track monthly savings.
APPROVAL OF LEASE/PURCHASE AGREEMENT
Upon a motion by Mr. Harrington, second by Mr. Pezold, the Board approved a lease/purchase agreement with Adrian Building Concepts, Inc. for a Modular Classroom Building containing six classrooms, two offices and two restrooms for Columbus Technical College. The cost of the lease is $3,858.50 per month for 60 months for a total purchase price of $231,510.00.

RESOLUTION OF THE STATE BOARD OF
TECHNICAL AND ADULT EDUCATION
WHEREAS, the State Board of Technical and Adult Education (hereinafter referred to as the "Board"), under the authority of the Constitution and laws of the State of Georgia, has been charged with the responsibility for providing a comprehensive program of literacy, career, occupational, and technical education for adults and out-of-school youths; and
WHEREAS FURTHER, pursuant to paragraphs 2 and 3 of section 4 of article 7 of the Constitution of the State of Georgia, Ga. Const. art. 7, §4, s 2 and 3 (1983), the amended General Appropriations Act for fiscal year 2001-2002 (Act No. 411, 2002 Regular Session), was enacted by the General Assembly and signed by the Governor on March 25, 2002, so as to make the following appropriation to the General Obligation Bond Sinking Fund:
From the appropriation designated "State General Funds (New)," $7,648,970 is specifically appropriated for the purpose of financing projects and facilities for the Department of Technical and Adult Education, by means of the acquisition, construction, development, extension, enlargement, or improvement of land, waters, property, highways, buildings, structures, equipment or facilities, both real and personal, necessary or useful in connection therewith, through the issuance of not more than $33,845,000 in principal amount of General Obligation Debt, the instruments of which shall have maturities not in excess of sixty months.
WHEREAS FURTHER, the Board finds an immediate need for $13,790,000 in aggregate principal amount of State of Georgia General Obligation Bonds out of the total $33,845,000 authorized in the appropriation set forth above, for certain of the projects and facilities referenced in the appropriation set forth above; and
WHEREAS FURTHER, the Georgia State Financing and Investment Commission Act, O.C.G.A. §50-17-20, et seq. (2002), provides that general obligation debt can only be issued for the benefit of the State, its departments, agencies and institutions, and those state authorities created and activated prior to November 8, 1960; and
WHEREAS FURTHER, the Board and the Department of Technical and Adult Education have been established respectively by Code sections 20-4-10 and 20-4-14, O.C.G.A. §§20-4-10 (Cum. Supp. 2001) and 20-4-14 (1996); and
WHEREAS FURTHER, the Board desires to request the issuance of State of Georgia General Obligation Bonds in the aggregate principal amount of $13,790,000 for certain of the projects and facilities referenced in the appropriation set forth above, hereinafter referred to as the "Projects"; and
WHEREAS FURTHER, the Board is aware of the provisions and requirements of the Internal Revenue Code of 1986, as amended, (the "Tax Code") and the regulations issued thereunder respecting arbitrage bonds and private activity bonds, and is aware that the Projects must proceed with due diligence and be timely completed following receipt of the proceeds derived from the sale of general obligation bonds,
NOW, THEREFORE, BE IT RESOLVED BY THE STATE BOARD OF TECHNICAL AND ADULT EDUCATION:
SECTION 1.
That the Board hereby approves and authorizes financing the Projects as described above.
SECTION 2.
That the Board hereby recommends to the Georgia State Financing and Investment Commission that it undertake to issue $13,790,000 in aggregate principal amount of general obligation debt, the instruments of which shall have maturities not in excess of sixty months, for the purpose of financing the Projects.
SECTION 3.
That the Board hereby determines that the final plans for the Projects are sufficiently complete such that substantial binding obligations to a third party or parties, involving the expenditure of at least five percent (5%) of the proceeds of the bonds (as defined in the regulations issued under the Tax Code), to commence or acquire the Projects will be incurred within six (6) months after the issuance of the bonds, that eighty-five percent (85%) of the spendable proceeds of the bonds will be expended within three (3) years after the issuance of the bonds, and that the original proceeds of the bonds herein requested and anticipated investment proceeds (net of interest on the bonds during the estimated period of construction) will not exceed by more than five percent (5%) the amount necessary for financing the Projects.
The Board further determines that during the time the bonds are outstanding, it will not take or omit to take any action which would cause the bonds to be arbitrage bonds under the Tax Code, and it will not use the proceeds of the bonds or the Projects financed with the bonds for any non-governmental purpose or any purpose constituting a private activity as defined by the Tax Code. The Board further determines that the term of the bonds will not be longer than 120% of the reasonably expected economic life of the projects financed.
The Board further determines that no proceeds of the bonds will be used for reimbursement of any Project expenditures which were made before the anticipated delivery date of the bonds, except in situations where prior to such expenditure the Board obtains a Declaration of Intent from the Georgia State Financing and Investment Commission or is otherwise advised in writing by the Commission that such reimbursement will be permitted, it being the intention of the Board to comply in all respects with Section 1.150-2 of the Regulations under the Tax Code.
The Board further determines that none of the expenditures of proceeds of the bonds for the Projects will constitute working capital expenditures (as defined in the regulations issued under the Tax Code).
SECTION 4.
That the Board hereby approves, authorizes and directs the Commissioner of the Department to communicate a request to the Georgia State Financing and Investment Commission that said Commission issue the general obligation debt as described in Section 2 above.
SECTION 5.
That the Commissioner of the Department of Technical and Adult Education is hereby authorized and directed to execute any instruments and take whatever action which may be necessary in connection with the issuance of general obligation bonds by the Georgia State Financing and Investment Commission, including but not limited to, the preparation and execution of answers in connection with any legal proceeding as to the validity of any action by the Board for the bonds issued by the Georgia State Financing and Investment Commission. The Attorney General or any Assistant Attorneys General of the State of Georgia are authorized to execute acknowledgment of service and waiver of process of such legal proceedings.

Upon a motion by Mr. Chafin, second by Ms. Goodman, the Board approved to authorize the Commissioner to enter into a contractual agreement with the University of Georgia on behalf of the Board of Regents of the University System of Georgia to continue its collaborative effort in providing research and development focused on critical issues in postsecondary technical education in Georgia at a total cost not to exceed $155,000.00.

The next State Board meeting will be in Atlanta at the DTAE office on Thursday, November 7, 2002.
Please hold Wednesday evening, December 4, 2002 for the Board Holiday Dinner to be held at the Capital City County Club and the State Board meeting will be next day, Thursday, December 5, 2002. Details will follow.
COMMISSIONER’S REPORT
Reviewed the Conference Agenda for the remaining events.
Thanks to everyone that contributed to making the Conference a success.
Upon a suggestion by Mr. Tarbutton, the Board requested that in view of the current public mood relating to ethics and honesty in business and government, that the Commissioner review the Department's policies and practices as they relate to these issues.
